By accessing and using AgentsYard (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this Service.

2. Description of Service

AgentsYard is a marketplace platform that connects companies ("Clients") with AI engineers and developers ("Talent"). We provide the platform for these connections but are not a party to any direct agreements between Clients and Talent unless explicitly stated otherwise.

3. User Accounts

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

4. User Conduct

You agree not to use the Service to:

  • Violate any local, state, national, or international law
  • Infringe the intellectual property rights of others
  • Harass, abuse, or harm another person
  • Upload or transmit viruses or malicious code
  • Attempt to gain unauthorized access to the Service or its related systems

5. Hiring and Payments

Specific terms regarding hiring fees, payment processing, and contract structures are governed by separate agreements entered into when a placement occurs. AgentsYard may charge fees to Clients for successful matches.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by AgentsYard and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that any specific Client will find suitable Talent or that any Talent will find a job. We do not endorse any specific User and are not responsible for the conduct of any User.

8. Limitation of Liability

In no event shall AgentsYard, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
